1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of the OrderBot platform ("Platform"), a WhatsApp-native food ordering and restaurant management system owned and operated by Azmahpoint Nigeria Limited ("Company", "we", "us", or "our"), a company duly incorporated under the laws of the Federal Republic of Nigeria (CAC RC: 8737386).

By registering for, accessing, or using the Platform in any capacity — as a Vendor, Staff Member, or Administrator — you confirm that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional policies incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease use of the Platform and notify us at support@azmahpoint.com.ng.

2. Definitions

VendorA business entity or individual that subscribes to use the Platform to receive and manage customer food orders
Staff MemberAn individual authorised by a Vendor to access the Platform under a sub-account
CustomerAn end-user who places food orders through the Platform via WhatsApp or the web mini-app
AgentAn individual or entity enrolled in the OrderBot agent referral programme
SubscriptionA periodic paid licence to access the Platform under a designated pricing plan
TokenA Platform consumption unit; one token is consumed per completed order

3. Platform Access and Accounts

3.1 Eligibility. You must be at least 18 years of age and legally capable of entering into binding contracts under Nigerian law.

3.2 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials. Notify us immediately at support@azmahpoint.com.ng if you suspect unauthorised access.

3.3 Account Transfers. You may not transfer, sell, or assign your account or subscription to any third party without prior written consent.

4. Subscription Plans and Billing

4.1 Plans. The Platform is offered under tiered subscription plans (Trial, Starter, Standard, Pro). Plan features, token allocations, and fees are subject to change with 30 days' written notice to existing subscribers.

4.2 Payment. Fees are payable monthly in advance via Paystack (card, bank transfer, USSD, mobile money). All prices are in Nigerian Naira (₦).

4.3 Tokens. Each plan includes a monthly token allocation. One token is consumed per completed order. Unused tokens carry over upon renewal at the same or higher plan and are not redeemable for cash.

4.4 Late Payment. If payment is not received within 7 days of the due date, access may be suspended without further notice.

5. Acceptable Use

You must not use the Platform to:

  • Sell, promote, or facilitate the sale of illegal goods or substances
  • Harass, abuse, threaten, defame, or discriminate against any person
  • Upload fraudulent, obscene, or defamatory content
  • Attempt to gain unauthorised access to any part of the Platform
  • Reverse engineer, decompile, or attempt to derive the source code of the Platform
  • Resell or sublicense the Platform without written authorisation

6. Intellectual Property

Vendors retain ownership of all Content they upload. All Platform software, algorithms, trademarks, and documentation are the exclusive property of Azmahpoint Nigeria Limited.

7. Third-Party Services

The Platform integrates with Meta (WhatsApp), Paystack, Cloudinary, Termii, and Mailjet. Your use of these services is subject to their respective terms. The Company is not responsible for interruptions of third-party services.

8. Warranties and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. THE COMPANY DOES NOT GUARANTEE ANY SPECIFIC REVENUE, ORDER VOLUME, OR BUSINESS OUTCOME.

9. Limitation of Liability

THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE VENDOR IN THE THREE MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10. Termination

Vendors may terminate by notifying us at support@azmahpoint.com.ng. Termination takes effect at the end of the current billing cycle. The Company may terminate immediately for breach, non-payment, or fraudulent activity. Upon termination, data is retained for 90 days then deleted.

11. Data Protection

The Company collects and processes personal data in accordance with its Privacy Policy and the Nigeria Data Protection Act 2023 (NDPA).

12. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be referred to good-faith negotiation then, if unresolved within 30 days, to binding arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act.
